1. AGREEMENT TO TERMS

These Terms & Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Greenstreat Holding Pty Ltd (ABN 74 644 581 984), doing business as Greenstreat Australia (“Greenstreat Australia,” “we,” “us,” or “our”), concerning your access to and use of the website https://greenstreat.com.au, as well as any other media form, media channel, mobile website, mobile application, or Greenstreat service (collectively, the “Site”).

By accessing the Site, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

We reserve the right to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms. Please ensure that you check these Terms every time you use our Site so that you understand which terms apply. Your continued use of the Site following any changes indicates your acceptance of the revised Terms.

The Site is intended for users who are at least 13 years of age. All users who are minors (under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and its content, including but not limited to text, graphics, audio, video, code, databases, functionality, designs, and logos (collectively, the “Content”), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, trade dress, and other intellectual property laws.

Ownership: All rights, title, and interest in and to the Content remain vested in us and our licensors.
Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use.
Restrictions: You must not copy, reproduce, distribute, publish, display, perform, transmit, create derivative works from, or exploit any of the Content for commercial gain without our prior written consent.
Third-Party IP: Any trademarks, service marks, or logos belonging to third parties that may appear on the Site are the property of their respective owners. Your use of the Site does not grant you any right or license with respect to such trademarks or service marks.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that:

You have the legal capacity and agree to comply with these Terms;
You are not under the age of 13;
You are not a minor in the jurisdiction where you reside, or you have obtained parental permission;
You will not access the Site through automated or non-human means (e.g., bots, scripts);
You will not use the Site for any unlawful or unauthorized purpose; and
Your use of the Site will not violate any applicable laws or regulations.

4. PROHIBITED ACTIVITIES

You agree not to engage in any of the following prohibited activities:

Using the Site for any commercial purpose not authorized by us.
Accessing or using the Site through automated means or scraping data.
Uploading viruses, Trojan horses, or other malicious code.
Attempting to gain unauthorized access to the Site or disrupt its functionality.
Harassing, threatening, or harming any person or entity via the Site.

5. USER-GENERATED CONTRIBUTIONS

The Site may allow users to post content such as reviews, feedback, and suggestions (“Contributions”). By making any Contributions, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display such Contributions.

You represent that you have the necessary rights to any Contributions and that they do not violate the rights of any third party.

6. CONTRIBUTION LICENSE

By submitting any Contributions, you grant us the right to use, reproduce, modify, distribute, and display your content as part of the Site or for marketing purposes. You retain ownership of your Contributions but waive any claims against us for using them.

7. MOBILE APPLICATION LICENSE

You are granted a limited, non-exclusive, non-transferable license to install and use our mobile application. You may not modify, reverse-engineer, or attempt to derive the source code of the application. The mobile app is provided “as is,” and we do not guarantee that it will function without errors.

8. REWARDS & LOYALTY

We offer a loyalty program known as Streat Cred, allowing you to load and accumulate digital points in your Greenstreat account. Streat Cred is not a gift card; it is a virtual balance of points that can be:

Earned: You may earn Streat Cred points through eligible purchases or promotions.
Redeemed: Points can be redeemed for goods and services at participating Greenstreat locations, subject to any restrictions we specify.

Non-Refundable: Streat Cred balances are non-refundable and cannot be redeemed for cash, except as required by law.
Inactivity: Balances that remain unused for 12 months may expire. We reserve the right to modify or terminate the rewards program at any time, with unused points remaining valid for 30 days after program termination.
Program Modifications: We may change the rate at which you earn or redeem Streat Cred points at our discretion.

9. COUPONS

From time to time, we may offer promotional coupons, discount codes, or similar (“Coupons”). Unless otherwise stated:

Single Use: Coupons are valid for a single use only and cannot be used more than once per user or per account, unless expressly stated otherwise.
Revocation & Modification: We reserve the right to revoke or modify any Coupon at any time for any reason, without prior notice.
Non-Transferable: Coupons are non-transferable and may not be resold or exchanged for cash, credit, or any other benefit.
Expiration: Coupons may have an expiration date. If no date is specified, we reserve the right to discontinue the Coupon at any time.
Combining Coupons: Coupons may not be combined with any other discount or promotion unless explicitly stated.
Additional Terms: Additional terms may apply, as indicated when we issue the Coupon.

10. SUBMISSIONS

Any feedback, suggestions, ideas, or other information you submit to us via the Site (“Submissions”) are deemed non-confidential and will become our sole property. We reserve the right to use these submissions for any purpose without acknowledgment or compensation to you.

11. THIRD-PARTY WEBSITES AND CONTENT

The Site may contain links to third-party websites or display third-party content. We are not responsible for the accuracy, content, or privacy practices of such third-party websites. Your use of any third-party website or content is at your own risk.

12. SITE MANAGEMENT

We reserve the right to:

Monitor the Site for violations of these Terms;
Remove or disable any content that violates these Terms or is otherwise objectionable;
Restrict access to the Site if necessary to protect our rights or property.

13. PRIVACY POLICY

We take privacy and data security seriously. Please review our Privacy Policy at https://greenstreat.com.au/privacy-policy. By using the Site, you agree to our collection, storage, and use of your data as described in the Privacy Policy.

Note: We do not store your payment information on our servers. All payment details are securely handled by Stripe, a PCI DSS-compliant payment processor.

14. REFUNDS, CANCELLATIONS, AND DELIVERY

Delivery Times: Estimated delivery times are provided but may vary due to external factors. Greenstreat is not responsible for delays caused by weather, traffic, or other uncontrollable conditions.
Refunds: Refunds for orders that have already been prepared will not be granted unless there is an issue with the order (e.g., incorrect items, missing items).
Cancellations: Orders may not be cancelled once preparation has begun. If there is an issue, please contact customer service immediately at support@greenstreat.com.au.

15. FOOD SAFETY AND ALLERGEN INFORMATION

Greenstreat prepares food in kitchens that handle allergens such as gluten, nuts, and dairy. While we take care to prevent cross-contamination, customers with food allergies should be aware of this risk.

16. CONTACTLESS PAYMENTS

We use Stripe to process all payments securely. Stripe complies with the Payment Card Industry Data Security Standard (PCI DSS). Please refer to Stripe’s Privacy Policy for more information on how your payment data is handled.

17. TERM AND TERMINATION

These Terms remain in effect while you use the Site. We reserve the right to terminate your access to the Site for any reason, including any violation of these Terms.

18. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or discontinue the Site at any time without notice. We will not be liable for any interruptions or loss of data caused by changes to the Site.

19. GOVERNING LAW

These Terms are governed by the laws of Australia. Any disputes arising under these Terms shall be resolved in accordance with the laws of Australia and subject to the jurisdiction of Australian courts.

20. DISPUTE RESOLUTION

Informal Negotiations: Both parties agree to attempt to resolve disputes informally before initiating any legal or arbitration proceedings.
Arbitration: If informal negotiations are unsuccessful, disputes may be referred to arbitration in Brisbane, Australia, unless otherwise agreed in writing.
Small Claims & Consumer Remedies: Nothing in these Terms prevents you from seeking remedies available under Australian Consumer Law (ACL) in the appropriate court or tribunal (e.g., a small claims tribunal).
Recommendation: We encourage you to contact us first at support@greenstreat.com.au so we can work in good faith to resolve any dispute or concern promptly.

21. CORRECTIONS

We reserve the right to correct any typographical errors, inaccuracies, or omissions on the Site at any time without prior notice.

22. DISCLAIMER (INCLUDING ACL ACKNOWLEDGMENT)

No Unlawful Exclusions: We acknowledge that certain consumer protection laws, including the Australian Consumer Law (ACL), imply statutory guarantees into some contracts for the supply of goods or services to consumers that cannot be excluded.
Site Provided “As Is”: Subject to the ACL and to the maximum extent permitted by law, the Site and all associated services are provided on an “as is” and “as available” basis. We make no warranties or representations about the accuracy or completeness of the Site’s content and disclaim all liability for any errors or omissions.
Compliance: We comply with all applicable provisions of the ACL. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the ACL or any other applicable law that cannot be excluded, restricted, or modified by agreement.

23. LIMITATIONS OF LIABILITY

Subject to the ACL: To the extent that we are able to limit the remedies available under the ACL, we expressly limit our liability for breach of a non-excludable statutory guarantee to one or more of the following: re-supply of the services, or payment of the cost of such re-supply (as determined by us).
Exclusion of Certain Damages: To the fullest extent permitted by law, and subject always to the ACL, we will not be liable for any indirect, incidental, special, or consequential losses or damages (including loss of profits, revenue, data, or use) arising out of or related to your use of the Site.
Maximum Extent: If we are found liable to you in any way, our aggregate liability for all claims arising out of these Terms or your use of the Site will not exceed the amount you have paid us in the 3 months immediately preceding the event giving rise to the liability or AU$100, whichever is greater.

24. INDEMNIFICATION

You agree to indemnify and hold us (and our directors, employees, and agents) harmless from any claims, damages, or losses, including reasonable legal fees, arising out of or related to your use of the Site or any violation of these Terms.

25. USER DATA

We retain the right to store and manage data related to your use of the Site, including transactional data. While we take steps to secure your data, we are not responsible for any data loss or corruption to the extent permitted by law.

26. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Site, you consent to receive electronic communications from us and acknowledge that electronic signatures, agreements, and records are valid and enforceable as if they were in hard-copy form.

27. MISCELLANEOUS

These Terms constitute the entire agreement between you and Greenstreat Australia regarding your use of the Site. If any provision of these Terms is deemed unlawful or unenforceable, the remaining provisions remain in full force and effect. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
